Role and Function of Law
The definition of law is “a body of rules of action or conduct prescribed by controlling authority, and having a legal binding force (Melvin, 2011, pg. 4).” Laws create duties, obligations and rights that reflect the accepted views of any given society. The most obvious purpose of laws is to provide order that defines crimes and levies punishment for violation of the crimes. It also helps to resolves disputes by providing a basis for deciding the legal interest and rights to every party involved in the dispute. Private law, or civil law, is the binding between two parties when no specific statute or regulations provide the rights of each party (Melvin, 2011). Public and Private law is to protect businesses and individuals when more than one party is involved.
In conclusion of the function and role of law within businesses and individuals, laws are put in place to protect the individuals and the businesses from lost or damaged property or goods. Laws also serve the purpose to help knowing what is right and wrong in individual and business goals. Knowing what is right and wrong can help by making the right decisions with in society, whether it is business or an individual.
Within the work place of Greenleaf Corporation each employee must sign a contract to not talk about work, or what goes on within the work place, outside of work. Greenleaf Corporation has several in house inventions that help the process of manufacturing of the product that could help the competitors get an upper hand on the competition. Greenleaf Corporation is located in the State of Pennsylvania which has adopted the Uniform Trade Secrets Act. The Uniform Trade Secrets Act (UTSA) is a law that helps trade secret theft. The District of Columbia and forty seven states have adopted laws from the UTSA. The states that have not adopted laws from the UTSA follow common law principles (NDAS, n.d.). Greenleaf Corporation is located in the State of Pennsylvania which has adopted the UTSA.
The definition of the Uniform Trade Secrets Act is as follows;
1. “Improper means” of the company trade secrets, including theft, bribery, misrepresentation, breach or inducement of a breach of duty to maintain secrecy, or espionage through electronic or other means.
