Indledning
 
Vi vil i følgende opgave undersøge Best Westerns (BW) corporate governance og identitet med særligt henblik på virksomhedens ejerstruktur, identitet, HR policy, mission, vision og værdier, samt virksomhedens begrænsninger. Dette vil vi gøre på baggrund af en række teorier og begreber fra erhvervsøkonomi og økonomisk psykologi, som vil blive begrundet i dette afsnit. Ejerstrukturen i en virksomhed spiller en stor rolle i forbindelse med, hvad ejerne kan gøre for at sikre, at lederne handler nogenlunde i overensstemmelse med ejernes interesser. Ifølge Jensen & Meckling (1976) bør man opfatte virksomheden som en juridisk kontraktstruktur, hvor virksomheden indgår en række kontrakter med virksomhedens interessenter. Ifølge denne agency-model kan virksomhedslederne ikke uden konsekvenser forfølge egne mål, men de bliver via et bundt af foranstaltninger ”disciplineret” til også at tage hensyn til ejernes ønske om profitmaksimering. Der findes flere forskellige måder, hvorpå virksomhedsejerne kan sikre sig mod virksomhedsledere. Man kan forsøge at udforme kontrakten for ledelsen, hvor der indgår en række incitamenter for at mindske en potentiel interessekonflikt, eksempelvis bonusordninger som bliver indløst, hvis nogle specificerede performance-mål er opnået. Derudover er en direkte måde, hvorpå ejerne kan søge at kontrollere virksomhedsledelsen, en bestyrelse, der agerer som en begrænsning af virksomhedsledelses handlingsfrihed. I opgaven vil vi foretage en analyse af, hvilke målsætninger virksomheden agerer ud fra med fokus på relationen mellem virksomhedens ejere og dens ledelse. Dette vil blive belyst ud fra Principal-Agent-teorien. Derefter vil vi analysere BWs identitet ud fra et længdesnitsperspektiv for at belyse, hvordan virksomhedens identitet har udviklet sig, og hvilke specifikke årsager man kan knytte hertil. Derudover vil vi foretage en analyse af BWs mission, vision og værdigrundlag, som giver en os en endnu klarere ide om virksomhedens identitet i dag. Denne undersøgelse vil ske på baggrund af empirisk materiale, herunder BWs hjemmeside. Men med så mange hoteller og så faste værdigrundlag kan der sættes spørgsmålstegn ved, hvorvidt virksomheden praktiserer det, som den prædiker. Dette vil vi belyse ud fra teorien om kognitiv dissonans, og vi vil prøve at identificere et eventuelt virksomhedsmæssigt gap.
